India’s Tata Motors has completed a landmark acquisition of a controlling stake in Italy’s Iveco Group, bringing together two major automobile manufacturers to create the world’s fourth-largest commercial vehicle enterprise. The acquisition marks one of the most significant international expansions by an Indian automotive company, establishing a global industrial group with combined revenues of approximately €21 billion, equivalent to more than ₹2.28 lakh crore, and operations spanning over 130 countries.
Tata Motors completed the initial settlement of its tender offer on October 30, acquiring approximately 89.42 percent of Iveco Group’s common share capital through its subsidiary TML CV Holdings B.V. The two companies formally announced their new partnership at a global press conference in Turin, Italy, on November 3, outlining plans to combine their manufacturing capabilities, technological expertise and international distribution networks while preserving their established brands and operational identities.
The combined enterprise brings together 27 manufacturing facilities, 25 research and development centres and more than 9,300 sales and service locations worldwide. With a workforce exceeding 73,000 employees across six continents, the acquisition substantially expands Tata Motors’ international presence and strengthens its position in the global commercial transportation industry.
Tata Motors Completes Landmark International Acquisition
The acquisition originated in an agreement announced on July 30, 2025, when Tata Motors and Iveco Group agreed to combine their commercial vehicle businesses through a recommended voluntary cash tender offer. The original transaction valued Iveco’s commercial vehicle operations at approximately €3.8 billion, excluding its defence business and related proceeds.
Following the necessary regulatory clearances and completion of the tender offer process, Tata Motors announced on October 30, 2026, that its acquisition subsidiary had secured 238,157,212 Iveco common shares, representing approximately 89.42 percent of the company’s share capital, excluding treasury shares. This established Iveco Group as an indirect subsidiary of Tata Motors and brought the European manufacturer’s commercial vehicle operations under Indian corporate ownership.
The acquisition process also includes arrangements for shareholders who did not participate during the initial acceptance period. The tender offer was reopened from November 2 to November 6, with settlement of additional shares scheduled for November 13. Tata Motors has outlined further procedures for completing the remaining ownership arrangements.
The transaction represents a major expansion of Tata Motors’ international industrial operations. Rather than relying exclusively on exports from India, the company now controls an established European commercial vehicle manufacturer with its own production facilities, research infrastructure, brands and distribution networks across several major international markets.
Creating the World’s Fourth-Largest Commercial Vehicle Manufacturer
According to the joint announcement issued by Tata Motors and Iveco Group on November 3, the combined enterprise ranks fourth among commercial vehicle manufacturers worldwide. The companies reported combined revenues of approximately €21 billion and annual sales volumes of around 590,000 vehicles.
The new enterprise brings together complementary product portfolios covering light commercial vehicles, medium-duty trucks, heavy-duty trucks, buses and specialised transportation solutions. Tata Motors contributes its strong position in India and emerging markets, while Iveco provides established manufacturing capabilities and customer networks in Europe and Latin America.
Tata Motors’ commercial vehicle portfolio ranges from small cargo vehicles to heavy-duty trucks with capacities reaching 55 tonnes. Its passenger transportation business includes buses and mobility solutions serving urban, intercity and institutional transportation requirements.
Iveco contributes substantial expertise in European commercial vehicle engineering, including light, medium and heavy trucks, city buses, intercity coaches and advanced powertrain technologies. The combination creates a diversified industrial organisation capable of addressing transportation requirements across different economic environments and regulatory markets.
The companies intend to preserve their existing brands while using their combined industrial scale to develop products, improve manufacturing efficiency and expand market access.
Iveco Brings Established European Automotive Brands into Tata Group
Iveco Group has a long industrial history in commercial vehicle manufacturing and maintains a significant presence across European and international markets. Following the acquisition, its principal businesses include IVECO commercial vehicles, IVECO BUS, HEULIEZ, FPT Industrial and IVECO CAPITAL.
The IVECO brand manufactures light, medium and heavy commercial vehicles used in freight transportation, construction, logistics and other industrial applications. Its product portfolio includes established truck families developed for European and international operating conditions.
IVECO BUS and HEULIEZ contribute capabilities in public transportation, including urban buses, intercity vehicles and specialised passenger mobility solutions. These businesses complement Tata Motors’ existing bus manufacturing activities and create opportunities for cooperation in public transportation technologies.
FPT Industrial represents another important component of the acquisition. The company develops advanced powertrain technologies for commercial vehicles, agricultural equipment, construction machinery, marine applications and power generation.
Access to these engineering capabilities expands the combined enterprise’s technological resources, particularly in propulsion systems, vehicle efficiency and alternative-energy solutions. IVECO CAPITAL adds an established vehicle financing business supporting customers and commercial partners.
Together, these businesses provide Tata Motors with an extensive international industrial platform covering vehicle manufacturing, propulsion technology, transportation services and related financing activities.
Acquisition Strengthens Tata Motors’ Global Manufacturing Presence
The acquisition significantly expands Tata Motors’ manufacturing and research infrastructure beyond India. The combined enterprise operates 27 manufacturing facilities and 25 research and development centres, supported by an extensive network of suppliers and technical service providers.
This industrial footprint provides access to manufacturing capabilities across different geographical markets, allowing the companies to combine established production infrastructure with their respective engineering expertise.
Tata Motors brings substantial experience in manufacturing cost-effective commercial vehicles for India and other emerging economies. Iveco contributes expertise in European vehicle engineering, regulatory compliance, advanced powertrains and commercial transportation solutions developed for demanding international markets.
The integration creates opportunities for cooperation in product engineering, component sourcing, production systems and supply-chain management. Technologies developed within one part of the organisation may be adapted for other markets, enabling the companies to make more effective use of their combined research capabilities.
The enlarged manufacturing network also strengthens Tata Motors’ ability to serve customers directly in international markets through established local production and distribution operations.
Advanced Powertrains and Green Mobility Become Major Priorities
One of the most important technological opportunities arising from the acquisition involves the development of cleaner and more efficient commercial vehicle propulsion systems.
Tata Motors and Iveco possess complementary expertise across conventional internal combustion engines, natural gas propulsion, battery-electric vehicles, hydrogen technologies and other emerging low-emission transportation solutions.
The companies intend to combine these capabilities to accelerate research and development while expanding the availability of advanced propulsion technologies across their product portfolios.
FPT Industrial’s engineering expertise is particularly relevant because modern commercial transportation requires increasingly sophisticated powertrains capable of balancing operating costs, efficiency, emissions requirements and reliability.
The combination also creates opportunities for developing connected vehicle technologies, digital fleet management systems and software-driven transportation solutions. These capabilities are becoming increasingly important as commercial vehicle operators seek better fuel efficiency, predictive maintenance, improved fleet utilisation and lower operating costs.
The companies have identified sustainable transportation as a central priority of their future strategy, with technology and engineering expertise expected to flow between their Indian and European operations.
Iveco’s Defence Business Excluded from Tata Acquisition
An important aspect of the transaction is that Iveco Group’s defence operations were separated before Tata Motors completed the acquisition.
On March 18, 2026, Iveco transferred its defence business, comprising the IDV and ASTRA brands, to Italian defence and aerospace company Leonardo. The transaction followed an agreement announced in July 2025 and carried an enterprise valuation of approximately €1.7 billion.
The separation was a condition of Tata Motors’ acquisition agreement and allowed the Indian company to acquire Iveco’s commercial vehicle, bus, powertrain and associated financial services businesses without incorporating the former defence operations.
The distinction is significant because Iveco’s defence activities included specialised military vehicles and protected mobility platforms. Those businesses now belong to Leonardo and do not form part of the newly combined Tata-Iveco commercial mobility enterprise.
The acquisition is therefore primarily an expansion of India’s international automotive manufacturing presence rather than a purchase of a European military vehicle manufacturer.
N. Chandrasekaran to Lead the New Global Enterprise
Tata Sons Chairman N. Chandrasekaran has assumed the chairmanship of Iveco Group, reinforcing the strategic importance of the acquisition within Tata Group’s international operations.
Speaking at the joint announcement in Turin on November 3, Chandrasekaran described the combination as the beginning of a new chapter for the two organisations. He emphasised their shared commitment to sustainable transportation, technological development and long-term industrial investment.
The new enterprise will focus on enabling engineering expertise, manufacturing capabilities and technology to move between the organisations while maintaining the distinct strengths of their existing businesses.
Tata Motors Managing Director and Chief Executive Officer Girish Wagh highlighted opportunities arising from the complementary geographical strengths and product portfolios of the two manufacturers. He identified engineering cooperation, advanced technologies, sourcing, distribution and customer relationships as important areas for future development.
Iveco Group Chief Executive Officer Olof Persson will continue leading the European business. Iveco will retain its headquarters in Turin, Italy, while preserving its established brands, industrial operations and workforce.
The companies have also confirmed that existing customer contracts, warranties, dealer relationships and supplier arrangements will continue without disruption during the transition.
Expanding India’s Position in the Global Automotive Industry
Tata Motors’ acquisition of Iveco represents a significant development in the international expansion of Indian manufacturing companies. By acquiring an established European commercial vehicle group, Tata Motors has expanded from its traditional domestic manufacturing base into a much larger global industrial organisation.
The transaction provides access to international research capabilities, established commercial vehicle technologies and extensive customer networks across Europe and Latin America. These assets complement Tata Motors’ strong position in India and its experience serving transportation markets across Asia, Africa and the Middle East.
The acquisition also offers opportunities for Indian engineering and manufacturing capabilities to participate more extensively in international product development. Cooperation between the two organisations could support new vehicle platforms, advanced components and technological solutions designed for different regional markets.
For India’s broader manufacturing ecosystem, the transaction demonstrates the ability of a domestic automotive company to acquire and manage a major international industrial enterprise. It also reflects the growing international presence of Indian corporations in sectors requiring substantial engineering expertise, manufacturing infrastructure and technological investment.
The combination strengthens Tata Group’s existing international business portfolio while creating a new platform for long-term growth in global commercial transportation.
A New Chapter in India’s Global Manufacturing Expansion
The acquisition of Iveco Group marks an important milestone in Tata Motors’ development into a major international commercial vehicle manufacturer. With operations in more than 130 countries, combined revenues exceeding ₹2.28 lakh crore and an industrial network spanning 27 manufacturing facilities, the enlarged organisation possesses the scale and technological capabilities to compete across major global transportation markets.
The transaction brings together Tata Motors’ established strengths in India and emerging markets with Iveco’s European engineering heritage, advanced powertrain capabilities and international commercial vehicle portfolio. Their combined resources create opportunities for developing cleaner vehicles, improving manufacturing efficiency and expanding customer access to advanced transportation technologies.
By preserving Iveco’s established industrial foundations while integrating the two organisations’ technological and commercial strengths, Tata Motors is pursuing a long-term strategy centred on international growth and sustainable mobility.
The acquisition represents more than the expansion of an Indian automobile manufacturer’s overseas presence. It establishes a globally diversified industrial enterprise under Tata Motors’ control and marks another significant chapter in the growing participation of Indian companies in international manufacturing and technology.
