Indian artificial intelligence-driven advertising technology company Affle 3i Limited has announced a definitive agreement to acquire Israel-based Perion Network Limited in an all-cash transaction valued at approximately US$420 million. The acquisition, announced on 1 November 2026, represents a major international expansion of Affle’s digital advertising business and is intended to strengthen its capabilities in artificial intelligence-powered consumer engagement, connected television advertising, retail media and digital out-of-home advertising.

The transaction will be executed through Affle 3iL Limited, an Israel-based subsidiary of Affle International Pte. Ltd. Under the agreement, Perion shareholders will receive US$11.70 per share, representing a 34.5% premium to the company’s closing share price on 30 October 2026. Once completed, Perion will become a wholly owned subsidiary within the Affle group while continuing to operate under its established brand. The acquisition is expected to close in early 2027, subject to shareholder approval, regulatory clearances and other customary conditions.

Acquisition Expands Affle’s Global Artificial Intelligence Advertising Business

The proposed acquisition brings together two companies operating in complementary segments of the global digital advertising industry. Affle specialises in artificial intelligence-powered mobile advertising and consumer conversion technologies, while Perion provides advertising infrastructure and optimisation capabilities across multiple digital platforms, including connected television, retail media, digital out-of-home advertising and other online channels.

Affle intends to use the acquisition to expand its international presence, particularly in developed markets where advertisers increasingly require integrated solutions capable of reaching consumers across multiple connected devices. Combining the companies’ technologies could allow Affle to offer more comprehensive advertising services, covering consumer identification, campaign optimisation, engagement and conversion measurement.

The transaction is also expected to strengthen Affle’s cost-per-converted-user (CPCU) business model, under which advertising performance is linked to measurable consumer conversion outcomes. By incorporating Perion’s capabilities across additional advertising channels, Affle aims to expand its ability to deliver performance-oriented marketing solutions beyond conventional mobile advertising.

Perion’s AI-Native Technology Strengthens Advertising Capabilities

Perion Network has developed an artificial intelligence-driven advertising technology ecosystem that helps advertisers, agencies and media owners manage campaigns across different digital environments. Its Perion One platform integrates advertising planning, campaign execution, optimisation and performance measurement, providing businesses with tools to manage advertising investments across multiple channels.

A central component of Perion’s technology portfolio is Outmax, its proprietary artificial intelligence agent designed to optimise advertising performance. The system continuously analyses campaign signals and adjusts advertising execution to improve results according to the performance objectives established by advertisers.

These capabilities complement Affle’s existing consumer platform, which uses proprietary data, audience intelligence and artificial intelligence algorithms to improve advertising targeting and consumer engagement. Integrating the two technology portfolios could enable the combined business to offer advertisers greater coordination between mobile advertising, connected television, retail media and other digital platforms.

The acquisition also reflects the growing importance of AI-native infrastructure in digital advertising. As consumer interactions become distributed across smartphones, connected televisions, online shopping platforms and other devices, advertisers increasingly require technologies capable of coordinating campaigns and measuring outcomes across different environments.

Affle Targets Greater Presence in Developed Advertising Markets

Affle has identified international expansion as an important component of its long-term growth strategy. The acquisition of Perion is expected to provide the company with an established technology portfolio and customer relationships across developed advertising markets, supporting its efforts to expand beyond its existing areas of strength.

Perion’s capabilities in connected television and retail media are particularly relevant because these segments have become important components of the evolving digital advertising industry. Connected television advertising enables brands to reach audiences through internet-connected television services, while retail media allows advertisers to place promotional content within digital and physical retail environments.

Digital out-of-home advertising represents another area of expansion. These systems use connected digital displays in public locations, commercial establishments and transportation environments to deliver advertising content that can be managed and optimised through software platforms.

Affle believes that combining these capabilities with its established mobile advertising technologies will create opportunities to serve advertisers across a broader range of consumer interactions. The company has identified e-commerce, retail and healthcare among the industries where the combined platform could support its international growth.

Transaction Includes Shareholder Approval and Regulatory Conditions

The acquisition agreement has received approval from the boards of directors of both companies. However, completion remains subject to Perion shareholder approval, applicable regulatory clearances and other conditions associated with the transaction.

The agreement values Perion’s equity at approximately US$420 million. As of 30 September 2026, Perion held approximately US$228.3 million in cash, cash equivalents, short-term bank deposits and marketable securities. Affle plans to finance the transaction through a combination of available cash resources and committed bank financing.

The agreement also provides Perion with a 40-day period during which it may solicit alternative acquisition proposals from interested parties. This provision, commonly described as a go-shop arrangement, is scheduled to expire on 11 December 2026. It allows Perion to evaluate whether another potential buyer is prepared to offer more favourable terms before the transaction proceeds towards shareholder approval.

Following completion of the acquisition, Perion’s ordinary shares are expected to be delisted from the Nasdaq Stock Market and the Tel Aviv Stock Exchange. Perion will continue operating under its existing corporate brand as part of the Affle group, allowing the combined business to retain the recognition and commercial relationships associated with its established advertising technology platforms.

Combined Business Expected to Strengthen AI-Led Consumer Conversion

Affle’s management has positioned the acquisition as an important step in strengthening its artificial intelligence-powered Consumer Platform technology portfolio. The company expects the combination of its mobile marketing capabilities and Perion’s advertising infrastructure to create opportunities for operational efficiencies, technology integration and improved advertising performance.

Anuj Khanna Sohum, Chairperson, Managing Director and Chief Executive Officer of Affle, indicated that the acquisition would bring together complementary technologies, intellectual property and innovation capabilities. The company expects the combined business to improve advertising returns for customers while expanding its international reach across multiple digital platforms.

Affle has also outlined plans to transform aspects of Perion’s business towards its CPCU operating model. The company expects this approach, together with technology integration and operational efficiencies, to support profitability improvements following completion of the transaction.

According to Affle’s official announcement, the company expects the acquisition to contribute positively to earnings per share by the end of the first year following closing. These financial benefits remain management expectations and will depend on successful transaction completion, business integration and the performance of the combined operations.

Acquisition Highlights International Expansion of India’s AI Technology Companies

The proposed acquisition illustrates the expanding international ambitions of Indian companies operating in artificial intelligence, digital advertising and specialised technology services. Rather than limiting growth to domestic markets, companies such as Affle are pursuing overseas technology assets, intellectual property and established customer networks to strengthen their positions in global industries.

The transaction is particularly relevant to India’s evolving AI technology ecosystem because it involves the proposed integration of advanced advertising infrastructure with an Indian company’s existing artificial intelligence-powered consumer platform. Such acquisitions can provide access to technologies and industry relationships that might otherwise require substantial time and investment to develop independently.

Perion’s established position in connected television, retail media and digital out-of-home advertising could also help Affle diversify its revenue opportunities across different advertising channels and international markets. The proposed combination reflects the broader shift towards integrated platforms that use artificial intelligence to coordinate advertising activities and evaluate measurable business outcomes.

At the same time, the transaction illustrates the challenges associated with international technology acquisitions. Successful integration will require aligning the companies’ technology systems, commercial strategies, customer relationships and operational practices while navigating regulatory requirements across multiple jurisdictions.

Affle Strengthens Its Position in the Global Digital Advertising Industry

The US$420 million acquisition agreement represents an important development in Affle’s international growth strategy and the increasing participation of Indian technology companies in global artificial intelligence-driven industries. By combining its established consumer conversion capabilities with Perion’s advertising infrastructure, Affle aims to create a broader technology platform capable of serving advertisers across connected devices and multiple digital channels.

The proposed transaction also demonstrates the growing commercial importance of artificial intelligence in advertising, where automated campaign optimisation, audience intelligence and measurable performance outcomes are becoming central to business strategies. Affle’s decision to acquire Perion reflects its intention to strengthen these capabilities through international technology integration.
